These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and InvoiceCore Hub ("Company," "we," "us," "our"). TO THE MAXIMUM EXTENT PERMITTED BY LAW, InvoiceCore Hub SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF BUSINESS OPPORTUNITY, EVEN IF InvoiceCore Hub HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claims arising out of or related to these Terms or the Services shall not exceed $100 or the amount you paid us (if any) in the 12 months prior to the claim, whichever is less.

Some jurisdictions do not allow the limitation of liability, so the above limitation may not apply to you.

8. Indemnification

You agree to indemnify, defend, and hold harmless InvoiceCore Hub and its officers, directors, employees, agents, and successors from any claims, demands, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of:

• Your violation of these Terms

• Your infringement of third-party rights

9. Acceptable Use Policy

You agree not to use the Services for any unlawful purpose or in any way that violates these Terms. Prohibited activities include, but are not limited to:

Trademarks: "InvoiceCore Hub" and related logos and marks are trademarks of InvoiceCore Hub. You may not use these marks without our prior written consent.

11. Third-Party Links and Content

The Services may contain links to third-party websites and content that are not controlled by InvoiceCore Hub. We are not responsible for the content, accuracy, legality, or practices of these external sites. Your use of third-party sites is governed by their terms and privacy policies.

12. User-Generated Content

The Services allow you to input and generate documents using information you provide. You are solely responsible for the content you create and the information you input.

• Your documents do not infringe on third-party rights

13. No Professional Advice

InvoiceCore Hub does not provide tax advice, accounting advice, business advice, or any other professional services. The tools and documents provided are for informational purposes only.

14. Termination

We may terminate or suspend your access to the Services at any time, for any reason, with or without notice or cause. Reasons for termination include, but are not limited to:

• Harmful behavior toward other users

Upon termination, your right to use the Services ceases immediately. All provisions that by their nature should survive termination will survive.

15. Governing Law and Jurisdiction

These Terms and your use of the Services are governed by and construed in accordance with the laws of the United States, without regard to its conflicts of law principles.

You agree that any legal action or proceeding arising out of or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in West Bengal, India, and you irrevocably consent to the jurisdiction and venue of such courts.

If your state requires a specific jurisdiction, disputes shall be governed by the laws of your state.

16. Dispute Resolution

Binding Arbitration: If informal resolution fails, you agree that any dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA), rather than in court. The arbitration shall be conducted on an individual basis (not as a class action).

InvoiceCore Hub makes no warranty regarding the accessibility, availability, or continuity of the Services. The Services may be unavailable due to maintenance, updates, technical issues, or other reasons beyond our control.

We are not responsible for any damages or losses resulting from unavailability of the Services.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, the provision shall be severed. All other provisions shall remain in full force and effect.

19. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other policies posted on the Site, constitute the entire agreement between you and InvoiceCore Hub regarding the Services and supersede all prior negotiations, agreements, and understandings.

20. Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of such provision or the right to enforce it in the future. No waiver is effective unless in writing and signed by InvoiceCore Hub.

21. Survival

The following provisions survive the termination or expiration of these Terms: Intellectual Property Rights, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and any other provisions that by their nature are intended to survive.
